The Asoka Creative Experimentation Fund (ACEF) is pleased to share a Vietnamese-translated version of the merger documentation relating to WARNER BROS. DISCOVERY, INC., NETFLIX, INC. and NIGHTINGALE SUB, INC., made available free of charge to the academic and professional community.
On 5 December 2025, the global legal and media communities closely followed the public disclosure of documentation concerning what has been widely regarded as a landmark transaction between Netflix, Inc. and Warner Bros. Discovery (WBD). The transaction values the total enterprise of Warner Bros. Discovery at approximately USD 82.7 billion. The full set of documents, comprising 371 pages, was publicly shared by attorney Rohit Jain via LinkedIn.
ACEF’s Vietnamese Translation of the Netflix and Warner Bros. Discovery Merger File
The Asoka Creative Experimentation Fund (ACEF) has undertaken the Vietnamese translation of the merger documentation between WARNER BROS. DISCOVERY, INC., NETFLIX, INC. and NIGHTINGALE SUB, INC., and is making this translated material available free of charge to students, researchers, legal professionals, and other interested readers.
ACEF is a science, technology and innovation fund operating under the management of Asoka Law LLC. The Fund was established with the mission “Born from IP. Built for IP”.
As an academically oriented fund committed to advancing knowledge and awareness of intellectual property within the Vietnamese community, ACEF has been steadily developing initiatives that are modest in scale yet high in practical value. Alongside its flagship bilingual publication project, Collection of Vietnamese Intellectual Property Cases, scheduled for release in 2026, ACEF continuously studies and engages with international intellectual property materials in order to strengthen the professional capacity of Vietnamese IP practitioners.
The merger documentation involving WARNER BROS. DISCOVERY, INC., NETFLIX, INC. and NIGHTINGALE SUB, INC. constitutes a particularly valuable reference. It offers detailed insight into mergers and acquisitions in which intellectual property assets play a central and strategic role. Under the transaction, Netflix is expected to acquire Warner Bros. studios, HBO channels, the HBO Max streaming service, and access to globally recognised franchises such as Harry Potter, Game of Thrones and the DC Comics Universe.
ACEF believes that careful study of these materials will contribute meaningfully to the development of professional skills and analytical capacity among Vietnamese scholars and intellectual property practitioners.
The answer is no.
The translation was initially prepared for internal reference within the Asoka Law ecosystem, with the aim of enhancing professional knowledge and practical skills. However, after receiving feedback from enterprises, students and researchers, many of whom expressed difficulty engaging with the original English documentation due to its length and complex terminology, ACEF decided to share the Vietnamese-translated materials with the wider community.
Given that the materials are intended for students and academic readers who require accuracy and clarity, the ACEF translation team has devoted additional time to carefully refining the text in accordance with Vietnamese legal drafting standards. While preserving the original structure and intent of the documents, the translation includes explanatory notes for legal terms and concepts that are specific to United States law, the jurisdiction in which the original documents were produced.
ACEF will accept registration requests until 30 December 2025 via email at acef@asokalaw.vn.
The translated materials are expected to be delivered to each registered recipient by email on 2 January 2026, as a small academic gift welcoming the year 2026.
