ACEF shares a small experiment in Vietnamizing Netflix M&A transaction documents and the initial lessons learned in translating global IP knowledge into Vietnamese.
In the final days of 2025, ACEF completed the Vietnamization of the transaction documents relating to the merger involving WARNER BROS. DISCOVERY, INC., NETFLIX, INC., and NIGHTINGALE SUB, INC., and shared the materials with 138 registered readers.
The shared materials included:
The original English-language file titled “Agreement and Plan of Merger among Warner Bros. Discovery, Inc.; New Topco 25, Inc.; Netflix, Inc.; and Nightingale Sub, Inc., dated as of December 4, 2025”, together with the attached schedules and statements.
Total length: 371 pages.
The Vietnamese translation titled “THOẢ THUẬN VÀ KẾ HOẠCH SÁP NHẬP giữa WARNER BROS. DISCOVERY, INC.,; NEW TOPCO 25, INC.,; NETFLIX, INC. và NIGHTINGALE SUB, INC. được lập ngày 4 tháng 12, 2025”, together with the attached schedules and statements.
Total length: 376 pages.
The translated materials were prepared by ACEF’s team of specialists, lawyers, and academic advisors.
In addition, the article “Legal Aspects of the Netflix – Warner Bros. Discovery Merger (2025)”, authored by lawyer Trịnh Ngọc Nam, was contributed to ACEF for the benefit of registered readers.
The full set of materials reached 138 readers on 01 January 2026, as a modest New Year’s gift for those interested in law, M&A, and intellectual property.
This was not a communications campaign.
Nor was it a “large-scale project” in the conventional sense.
It was simply a small experiment, quietly conducted by ACEF, driven by a very straightforward question:
Is the serious Vietnamization of global IP materials truly necessary, and will it be received by readers?
At least for now, the answer appears to be yes.
Netflix is not an “entertainment topic.”
From ACEF’s perspective, Netflix represents a paradigmatic "IP case study" of the digital era.
It is a context in which copyright, data, algorithms, trademarks, distribution contracts, and strategies for protecting intangible assets are operated simultaneously, at a global scale, with a high level of sophistication and coordination, leaving little room for error.
The M&A transaction documents relating to Netflix are not easy to read.
They were not written for a general audience.
And they have, until now, lacked a complete and reliable Vietnamese version.
Most Vietnamese social media posts or press articles addressing this transaction have focused on commentary or factual reporting, rather than engagement with the underlying documentation itself.
For this reason, ACEF selected Netflix not because it is “well known,” but because it is sufficiently challenging to test, and sufficiently rigorous to serve as a reference point.
Initially, our sole intention was to translate these materials for internal reference within the Asoka ecosystem, as part of an internal training effort and capacity-building exercise for future client matters.
However, upon realizing that many others also wished to access the documents in Vietnamese, ACEF chose a more demanding approach: conducting a more rigorous review of the translation, consulting senior advisors in the field of legal English, revising and proofreading the materials, and even requesting an additional analytical article from a fellow lawyer. This supplementary analysis was intended to assist readers in gaining a high-level understanding when the underlying documents proved particularly extensive and complex.
That level of care was ultimately consolidated into a carefully prepared package and delivered to ACEF’s readers as scheduled.
One hundred and thirty-eight is not a large number.
But for ACEF, it represents:
138 individuals who actively registered to read,
138 readers who chose to engage with primary-source documents rather than summaries,
138 initial points of contact between the Vietnamese community and carefully translated global IP knowledge.
ACEF does not know precisely how much of the material each reader has read.
Nor do we measure success by clicks or reading time.
Yet the mere fact that people were waiting to receive IP documents is already a clear signal:
The demand for structured and serious IP learning in Vietnam is real; it has simply lacked sufficient and reliable sources until now.
The experiment of Vietnamizing the Netflix transaction documents offered ACEF several important lessons.
First, Vietnamese readers are willing to engage with complex knowledge when it is presented with care. Materials do not need to be excessively simplified; they need only to be accurate, clear, systematic, and practically relevant.
Second, intellectual property is no longer the exclusive domain of lawyers or specialists. Individuals working in creative industries, content production, technology, and business all have a need to understand IP, albeit in ways that align with their specific contexts.
Third, the Vietnamization of knowledge cannot be treated as a one-off exercise. It must be approached as a long-term endeavor, grounded in method, standards, and academic responsibility.
ACEF does not regard the sharing of 138 document sets as a “success.”
It is merely an initial milestone.
From this experiment, ACEF has clarified the path forward:
to continue Vietnamizing global IP materials,
to prioritize systems with significant impact on creativity and business, and
to gradually build a bilingual Vietnamese–English IP knowledge repository that is sufficiently deep for reference and sufficiently rigorous for study.
No haste.
No noise.
But a commitment to see it through.
ACEF was established to experiment with efforts that have not yet been pursued with sufficient seriousness in the fields of intellectual property and creativity.
The Vietnamization of Netflix transaction documents is simply one such experiment.
